1. Acceptance of terms

By accessing or using ImprintTrader ("the Service", "we", "us", "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.

2. Description of service

ImprintTrader is a Software-as-a-Service (SaaS) platform that provides AI-powered trade discipline and behavioural intelligence tools for retail traders. The Service allows users to:

• Create and store trading strategies as "Master Imprints"
• Score individual trades against their defined strategies using AI analysis
• Maintain a trade journal and review historical performance
• Generate AI-powered research reports from trade data
• Track discipline metrics including streaks, scores, and badges
• Run a Daily Routine — a pre-market or post-market checklist of rituals, imprint checks and notes — and track a process streak for completing it
• Score a completed session's executed trades in one batch after the close using Session Review
• Use Pattern Lab to collect unscored screenshot samples of a suspected pattern, organise patterns by market, record which conditions each sample's chart showed, mark each sample's outcome once it is known, read a hit-rate verdict, compare samples with and without a condition, test a combination of conditions going forward, merge a family of patterns into one, and turn a pattern into a Master Imprint. Pattern Lab uses no credits and no AI; saving the Master Imprint a pattern is turned into is charged like any other imprint

ImprintTrader's AI features are powered by third-party AI models. The providers used vary by feature and configuration and are described in the AI processing and third-party services sections of our Privacy Policy. ImprintTrader is an independent product and is not affiliated with, endorsed by, or sponsored by these model providers; any provider names in our Privacy Policy are used only to identify the underlying technology. We do not provide a general-purpose chatbot or an interface or API that gives users direct access to these models — they are used only to power the Service's scoring and reporting features, its imprint-building assistants, and its in-app help assistant, which answers questions about using the Service.

3. Not financial advice

ImprintTrader is a discipline and behavioural intelligence tool only. Nothing on this platform constitutes financial advice, investment advice, trading advice, or any other form of advice. The AI scoring, coaching notes, pre-entry rules-checks, research reports, and Pattern Lab hit rates and verdicts are provided for informational and educational purposes only.

All trading decisions are made solely by you. ImprintTrader does not recommend, endorse, or advise you to enter or exit any trade, security, or financial instrument. Past performance of any strategy or imprint score does not guarantee future results.

4. User accounts

You must register for an account to use the Service. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate and complete information during registration
• Notifying us immediately of any unauthorised use of your account

You must be at least 18 years of age to use the Service. By registering, you represent that you are at least 18 years old.

5. Subscription and credits

ImprintTrader offers both free and paid subscription tiers. Paid subscriptions are billed monthly or, where offered, annually (annual billing is available for the Trader and Pro plans only). Each paid plan includes an allowance of AI scoring credits (plan credits) for each billing period — each month on a monthly plan, or a full year's allowance at each annual charge. Plan credits do not roll over: at the start of each billing period they are reset to your plan's allowance. Credits you buy or earn — top-ups and referral rewards — are kept separately and are never reset.

Free plan. Every new account receives 10 AI scoring credits once, when the account is created, at no charge and without a payment method. Free credits are not renewed; to get more, subscribe to a paid plan, buy a credit top-up or earn referral rewards. When you start a paid plan or a free trial, your plan credits are set to that plan's allowance (15 credits during a Pro trial), replacing any unused free credits; top-up and referral credits are kept.

Pro free trial. The monthly Pro plan can be started with a 14-day free trial, once per customer. The trial is not offered on annual plans or when you upgrade an existing Trader subscription to Pro. During the trial you have full Pro access and 15 AI scoring credits. Unless you cancel before the trial ends, it converts automatically into a paid monthly Pro subscription when the trial ends: you are charged the Pro price, and your plan credits are reset to Pro's 90 monthly credits (unused trial credits do not carry over). If you cancel during the trial, you are not charged: you keep Pro access until the trial's end date, then your account moves to the Free plan and keeps any trial credits you have not used.

Credit top-ups. Credit top-ups are one-time purchases of additional credits — 20 credits for $10, 50 for $20, or 80 for $30. Your plan credits are always used first; top-up credits are drawn down only once your plan credits are exhausted, those expiring soonest first. Unlike plan credits — which reset at the start of each billing period and do not roll over — top-up credits roll over from month to month and remain available until 12 months from the date of purchase. Referral rewards roll over in the same way and do not expire. Top-up and referral credits stay on your account if you change, pause or cancel your plan. They are lost only when they expire or when your account is deleted (by you, or by us under section 13), and we may remove credits that were added in error or that came from a purchase that was refunded or charged back.

Plan limits. The number of Master Imprints and Pattern Lab samples you can create depends on your plan. If your plan changes to one with lower limits — a downgrade, a cancellation, or a paused subscription — nothing you have already created is deleted, but you cannot add more until you are below the new plan's limit.

All prices are displayed in USD. Payments are processed securely by our third-party payment processor. By subscribing, you also agree to the applicable terms of our payment provider, which are presented at checkout.

6. Refunds

Please refer to our Refund Policy for full details on our refund terms. In summary, if you subscribe to a paid plan for the first time, you may request a full refund within 7 days of your first payment, provided you have used fewer than 10 AI scoring credits during that period (credits spent on any feature count towards this). An annual renewal can be refunded on the same terms within 7 days of the renewal charge; monthly renewals and top-ups are non-refundable. When a payment is refunded, the credits it granted are removed.

7. Acceptable use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Attempt to reverse-engineer, decompile, or extract the AI models or scoring algorithms
• Share your account credentials with others
• Upload content that is illegal, harmful, or infringes on third-party rights
• Use the AI features to generate, request, or attempt to generate unlawful, harmful, hateful, sexually explicit, or otherwise abusive content
• Use automated tools, bots, or scrapers to access the Service
• Attempt to circumvent any usage limits or access controls

8. Intellectual property

The Service, including all software, algorithms, designs, text, and graphics, is owned by ImprintTrader and protected by applicable intellectual property laws. You retain ownership of the trading strategy data, chart images, and trade records you upload to the Service.

By uploading content to the Service, you grant ImprintTrader a limited, non-exclusive licence to process and store that content solely for the purpose of providing the Service to you.

9. Data and privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take the security of your data seriously and implement appropriate technical and organisational measures to protect it.

10. Limitation of liability

To the maximum extent permitted by applicable law, ImprintTrader shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, loss of data, or loss of goodwill, arising out of or in connection with your use of the Service.

ImprintTrader's total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to ImprintTrader in the 3 months preceding the claim.

11. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated scores, coaching notes, and reports may contain errors and should not be relied upon as the sole basis for any trading decision.

12. Modifications to service and terms

We reserve the right to modify or discontinue the Service at any time with reasonable notice. We may update these Terms of Service from time to time. We will notify you of significant changes by email or by posting a notice within the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the updated terms.

13. Termination

You may delete your account at any time from the Settings page. Deletion is immediate and permanent: your account and the data in it — your Master Imprints, trades and scores, journal, reports, Pattern Lab patterns and samples, routines and the chart images you uploaded — are deleted as part of the deletion. There is no grace period, and we cannot restore a deleted account. Any paid subscription is cancelled at the same moment, with no refund for the rest of the billing period. Unused top-up and referral credits are forfeited and not refunded. If you are within the 7-day refund guarantee in section 6, request your refund before you delete your account.

If you only want to stop paying, you can cancel your subscription at any time from Settings without deleting your account; your data is kept on the Free plan. We may terminate or suspend your account if you breach these Terms; if we terminate it, it is deleted in the same way. Upon termination, your right to use the Service ceases immediately.

The limited records we keep after an account is deleted — for example billing records, records held by our payment provider, and copies in our encrypted backups — are described in the data retention section of our Privacy Policy.

14. Governing law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
