Please read these Terms of Service carefully before using ImprintTrader. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using ImprintTrader ("the Service", "we", "us", "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.

2. Description of Service

ImprintTrader is a Software-as-a-Service (SaaS) platform that provides AI-powered trade discipline and behavioral intelligence tools for retail traders. The Service allows users to:

Create and store trading strategies as "Master Imprints"
Score individual trades against their defined strategies using AI analysis
Maintain a trade journal and review historical performance
Generate AI-powered research reports from trade data
Track discipline metrics including streaks, scores, and badges

ImprintTrader's AI features are powered by third-party AI models (currently Anthropic's Claude and Google's Gemini). ImprintTrader is an independent product and is not affiliated with, endorsed by, or sponsored by these model providers; their names are used only to identify the underlying technology. We do not provide a general-purpose chatbot or an interface or API that gives users direct access to these models — they are used only to power the Service's scoring and reporting features.

3. Not Financial Advice

ImprintTrader is a discipline and behavioral intelligence tool only. Nothing on this platform constitutes financial advice, investment advice, trading advice, or any other form of advice. The AI scoring, coaching notes, pre-entry rules-checks, and research reports are provided for informational and educational purposes only.

All trading decisions are made solely by you. ImprintTrader does not recommend, endorse, or advise you to enter or exit any trade, security, or financial instrument. Past performance of any strategy or imprint score does not guarantee future results.

4. User Accounts

You must register for an account to use the Service. You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Providing accurate and complete information during registration
Notifying us immediately of any unauthorised use of your account

You must be at least 18 years of age to use the Service. By registering, you represent that you are at least 18 years old.

5. Subscription and Credits

ImprintTrader offers both free and paid subscription tiers. Paid subscriptions are billed monthly. AI scoring credits are allocated monthly based on your subscription tier and do not roll over to the following month.

Credit top-ups are one-time purchases of additional credits — 20 credits for $10, 50 for $20, or 100 for $30. Your monthly plan allowance is always used first; top-up credits are drawn down only once your monthly credits are exhausted. Unlike monthly plan credits — which reset at the start of each billing cycle and do not roll over — top-up credits roll over from month to month and remain available until 12 months from the date of purchase.

All prices are displayed in USD. Payments are processed securely by our third-party payment processor. By subscribing, you also agree to the applicable terms of our payment provider, which are presented at checkout.

6. Refunds

Please refer to our Refund Policy for full details on our refund terms. In summary, we offer a 7-day refund on first-time subscriptions if you have not used more than 10 AI scoring credits during that period.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Attempt to reverse-engineer, decompile, or extract the AI models or scoring algorithms
Share your account credentials with others
Upload content that is illegal, harmful, or infringes on third-party rights
Use the AI features to generate, request, or attempt to generate unlawful, harmful, hateful, sexually explicit, or otherwise abusive content
Use automated tools, bots, or scrapers to access the Service
Attempt to circumvent any usage limits or access controls

8. Intellectual Property

The Service, including all software, algorithms, designs, text, and graphics, is owned by ImprintTrader and protected by applicable intellectual property laws. You retain ownership of the trading strategy data, chart images, and trade records you upload to the Service.

By uploading content to the Service, you grant ImprintTrader a limited, non-exclusive licence to process and store that content solely for the purpose of providing the Service to you.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take the security of your data seriously and implement appropriate technical and organisational measures to protect it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ImprintTrader shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, loss of data, or loss of goodwill, arising out of or in connection with your use of the Service.

ImprintTrader's total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to ImprintTrader in the 3 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated scores, coaching notes, and reports may contain errors and should not be relied upon as the sole basis for any trading decision.

12. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service at any time with reasonable notice. We may update these Terms of Service from time to time. We will notify you of significant changes by email or by posting a notice within the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the updated terms.

13. Termination

You may terminate your account at any time from the Settings page. You can cancel your subscription at any time via the Manage Subscription portal in Settings. We may terminate or suspend your account if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination before permanent deletion, unless required by law to retain it longer.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
